The National Assembly has formally received a petition against the Registrar‑General of the Corporate Affairs Commission (CAC), Hussaini Ishaq Magaji, SAN, alleging unlawful interference with corporate records. The petition, presented at plenary by Hon. Muktar Tolani Shagaya (Ilorin West, Kwara State) during a session presided over by Deputy Speaker Hon. Benjamin Kalu, was referred for further legislative action.
The petition, signed by Kojo Mensah Ansah, accuses the CAC Registrar‑General of unlawful expropriation of shares, extrajudicial removal of directors, and retrospective invalidation of corporate filings relating to Jonah Capital Nigeria Ltd and Houses for Africa Nigeria Ltd. The dispute centres on the multi‑billion‑naira River Park Estate, Abuja, where ownership conflicts have escalated into a corporate and regulatory crisis.
Jonah Capital’s CEO alleged that on 8 December 2025, the Registrar‑General altered the ownership structure of the companies despite a pending court case and directives from the Attorney‑General of the Federation (AGF) and Solicitor‑General instructing the CAC to halt changes and place a caveat on the records.
It was further claimed that newly listed directors, Olakitan Ogunmuyiwa and Adeniran Ogunmuyiwa, immediately wrote to banks, including Zenith Bank, seeking closure of company accounts and notified the FCT Minister of an alleged takeover. Investors warned that such actions could facilitate hostile takeovers through regulatory manipulation.
In a related statement, Houses for Africa Nigeria Ltd disowned Dr. Adeniran Ogunmuyiwa, affirming that its lawful directors remain Kojo Ansah Mensah, Sir Samuel Esson Jonah, Victor Quainoo, and Jonah Nathaniel, and noting that Ogunmuyiwa relinquished his 20% shares years earlier under a binding agreement.
